Terms of Use

These Terms of Use ("Terms") govern your access to and use of Kira (the "Service"), provided by Kira Art Pte. Ltd., a private limited company incorporated in Singapore ("Kira", "we", "us", or "our"). The Service is available at kira.art and through any associated products, applications, and websites.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

• You must be at least 18 years old to use the Service. If you are between 13 and 17, you may use the Service only with the express consent of a parent or legal guardian who agrees to these Terms on your behalf.

• You may not use the Service if you are barred from doing so under any applicable law, or if your account has previously been terminated by us.

• If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to that organisation.

• You must create an account to use most features of the Service. You agree to provide accurate, current information and to keep it updated.

• You are responsible for safeguarding your login credentials and for all activity that occurs under your account.

• You may not share your account, sell or transfer it, or allow any other person to use it. Each account is intended for a single individual user.

• We may suspend or terminate your account if you breach these Terms, if your account is inactive for a prolonged period, or if we are required to do so by law.

The Service is offered through a free tier and paid subscription plans (currently Basic, Pro, and Max) billed monthly or annually. Current pricing is available at kira.art and may be updated from time to time.

Most generations consume credits. Credits are allocated to your account based on your subscription tier and reset at each renewal period. Unused credits do not roll over to the next period unless we explicitly state otherwise.

• Payment is processed by our third-party payment processor (Stripe). By providing payment information, you authorise us, through our payment processor, to charge the applicable fees, taxes, and recurring renewals to your selected payment method.

• All fees are stated and charged in US Dollars (USD) unless otherwise indicated, and are exclusive of any applicable taxes, which you are responsible for paying.

• Subscriptions renew automatically at the end of each billing cycle at the then-current rate, unless cancelled before the renewal date.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date.

Except where required by law, all fees are non-refundable. We may, at our sole discretion, issue partial or full refunds in cases of clear billing error, double-charging, or other exceptional circumstances.

We may change pricing for the Service at any time. Any price change will apply to your subscription from the next renewal. If you do not wish to continue at the new price, you may cancel your subscription before the renewal date.

"Your Content" means any text, images, videos, prompts, or other materials you upload to or input into the Service. As between you and Kira, you retain all ownership rights in Your Content.

You represent and warrant that:

• You own or have the necessary rights and permissions to upload Your Content;

• Your Content does not infringe any third party's intellectual property, privacy, publicity, or other rights;

• Your Content does not violate any applicable law or these Terms.

You grant Kira a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, modify, and create derivative works of Your Content solely for the purpose of operating, providing, improving, and securing the Service, and where applicable, to transmit Your Content to the third-party AI model providers we use to fulfil your requests (see Section 7).

The Service includes public surfaces (such as the in-app Discover feed and the public gallery) where users may choose to publish their creations. By publishing a creation to a public surface within the Service, or by sharing a creation publicly on a third-party platform using a Kira-branded hashtag (for example, #shotwithkira), you grant Kira an additional non-exclusive, royalty-free, worldwide license to:

• reproduce, distribute, and display that creation on Kira's discovery surfaces, social channels, and marketing materials, with credit to you (for example, via your username or social handle);

• create thumbnails, previews, and adapted versions of the creation for those purposes.

This license is limited to creations you have actively chosen to make public through one of the actions above. Creations you keep private in your account are not subject to this licence and will not be featured by Kira.

You may, at any time, remove a creation from the public surfaces you control, and you may ask us to stop featuring a previously-featured creation by writing to us at the address in Section 18; we will use reasonable efforts to honour such requests on a go-forward basis.

Subject to your compliance with these Terms and applicable law, Kira assigns to you any rights it may have in the images, videos, audio, or other media generated for you by the Service ("Outputs"). You may use Outputs for any lawful purpose, including commercial use, in accordance with your subscription tier.

Because the Service uses probabilistic AI models, similar or identical Outputs may be generated for other users with similar inputs. You acknowledge that you do not receive any exclusivity over Outputs.

Outputs are provided "as generated". We make no representation that Outputs are accurate, complete, original, fit for any particular purpose, or free from third-party rights. You are solely responsible for reviewing Outputs before any further use, distribution, or publication.

You are responsible for ensuring that your use of Outputs complies with applicable law and third-party rights, including, without limitation, rights of publicity, trademark, copyright, and platform-specific policies for any platform on which you publish the Output.

You may not use the Service to create, upload, or distribute content that:

• Depicts child sexual abuse material (CSAM) or sexualises minors in any way. We have zero tolerance for this category. Suspected CSAM will be reported to the appropriate authorities, the responsible account will be terminated immediately, and we will preserve evidence to the extent required by law.

• Constitutes non-consensual intimate imagery ("revenge porn") or depicts identifiable real persons in sexual or nude contexts without their documented, informed consent.

• Impersonates a real person in a deceptive or harmful way, including non-satirical deepfakes of public figures, fabricated quotes attributed to real people, or content designed to be mistaken for a real person's authentic statement or act.

• Promotes hatred, violence, or discrimination against individuals or groups based on protected characteristics.

• Promotes self-harm, suicide, or eating disorders.

• Constitutes electoral disinformation or fabricated content about real political candidates, officials, or processes intended to deceive.

• Infringes intellectual property, including unauthorised reproduction of copyrighted works, trademarks, or proprietary brand assets.

• Is otherwise illegal under applicable law or facilitates illegal activity.

• Bypasses or interferes with the Service's safety filters, rate limits, billing systems, or security measures, including via automated scraping, reverse engineering, or unauthorised API use.

• Distributes malware, phishing payloads, or other harmful code.

The Service does not actively encourage the creation of sexually explicit or otherwise adult content, and we do not optimise the product for this use case.

• Private use: You may generate adult content involving wholly fictional, non-real, adult subjects for your own private use within your account, provided that such content does not fall within any category in Section 6.1.

• Public surfaces: You may not publish, post, or share sexually explicit, pornographic, or other adult content to any of Kira's public surfaces, including the in-app Discover feed, the public Gallery, any community feature, or via any Kira-branded hashtag (for example, #shotwithkira). Such content will be removed from public surfaces and may result in further account action under Section 6.3.

• We do not provide any warranty, representation, or recourse with respect to adult content; you generate it at your own risk and remain solely responsible for ensuring that any further use of it complies with applicable law and third-party rights.

We reserve the right to refuse, remove, or block any content or use that, in our reasonable judgment, violates this Section 6, even where not expressly listed. Depending on the nature and severity of the violation, we may:

• remove the offending content from public surfaces;

• restrict your access to specific features;

• suspend your account temporarily;

• terminate your account permanently, without refund;

• report the matter to the relevant authorities where required by law.

Repeated or severe violations — and any violation of Section 6.1 — may result in immediate, permanent termination without notice or refund.

The Service is built on a multi-vendor architecture and routes requests across multiple third-party AI model providers (including, among others, OpenAI, ByteDance Seedream, and Alibaba Wan) and supporting infrastructure providers (including Cloudflare, Stripe, and others).

• By using the Service, you acknowledge that Your Content and prompts may be transmitted to these providers solely to fulfil your requests, subject to their respective terms and privacy policies.

• We select and rotate model providers in our discretion based on quality, cost, and availability; we do not guarantee that any specific underlying model will remain available.

• Kira is not responsible for the conduct, content, terms, or policies of any third-party provider, but we will use commercially reasonable efforts to work only with providers that meet appropriate standards.

The Service, including all software, models, interfaces, designs, trademarks, logos, and documentation, is the property of Kira Art Pte. Ltd. or its licensors and is protected by intellectual property and other laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose, subject to these Terms.

You may not:

• Copy, modify, distribute, sell, sublicense, or create derivative works of the Service except as expressly permitted;

• Reverse engineer or attempt to extract the underlying source code, model weights, or training data of the Service;

• Use Kira's name, logo, or trademarks without our prior written consent.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and disclose information about you. By using the Service, you consent to such collection and processing.

• We strive for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, upgrades, third-party outages, or events beyond our reasonable control.

• We may add, remove, change, or discontinue features at any time. Where a change materially affects features you have paid for, we will post notice on the Kira website.

• You may terminate your account at any time by cancelling your subscription and closing your account from your account settings.

• We may suspend or terminate your access immediately, with or without notice, if you breach these Terms, if your continued use poses a legal or security risk, or if we cease to offer the Service.

• On termination: Sections 4.3 (limited to processing necessary for backups and legal compliance), 5 (Outputs), 8 (Kira's IP), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 15 (Governing Law), and 16 (General) survive.

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

YOU ACKNOWLEDGE THAT OUTPUTS ARE GENERATED BY PROBABILISTIC AI MODELS, MAY CONTAIN FACTUAL INACCURACIES, AND MAY OCCASIONALLY PRODUCE RESULTS THAT ARE OFFENSIVE, INAPPROPRIATE, OR NOT WHAT YOU INTENDED. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF OUTPUTS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

• KIRA, ITS AFFILIATES, AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

• IN ANY EVENT, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR FREE-TIER USERS WHO HAVE NOT PAID ANY FEES, OUR LIABILITY IS LIMITED TO USD 0.

• These limitations apply even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded.

You agree to indemnify, defend, and hold harmless Kira and its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Service;

• Your Content or any Output you generate, publish, or distribute;

• Your breach of these Terms or violation of any applicable law or third-party right.

• These Terms are governed by the laws of Singapore, without regard to its conflict of laws principles.

• Any dispute, controversy, or claim arising out of or relating to these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules in force at the time of commencement. The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of arbitration shall be English.

• Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

• Entire agreement. These Terms (together with the Privacy Policy and any plan-specific terms) constitute the entire agreement between you and Kira regarding the Service and supersede all prior agreements on that subject.

• Severability. If any provision is held unenforceable, the remainder will remain in full effect.

• No waiver. Our failure to enforce any right is not a waiver of that right.

• Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of all or substantially all of our assets.

• No agency. No agency, partnership, joint venture, or employment relationship is created by these Terms.

• Force majeure. Neither party is liable for failure to perform due to causes beyond its reasonable control.

We may update these Terms from time to time. If we make material changes, we will notify you (for example, by email or in-product notification) and update the "Last updated" date above. Continued use of the Service after such changes constitutes your acceptance of the updated Terms. If you do not accept the changes, you must stop using the Service.
